Terms of Service

These Terms of Service ("Terms") govern your use of the urayf service and the urayf.com website, both operated by URAYF LLC ("urayf," "we," "our," or "us"). By using urayf, you ("Client," "you") agree to these Terms.

1. The Service

urayf is a business intelligence service for independent retailers, franchisees, and small business owners. We analyze operational data you provide and deliver regular reports through our client portal (urayf.com/portal).

Your specific service plan — Autopilot or Anomaly — determines which services and reports we provide. Every plan includes our base daily book-keeping service; plan definitions are available on urayf.com and may be updated from time to time.

urayf is an independent service provider. urayf is not affiliated with, sponsored by, or endorsed by 7-Eleven, Inc. "7BOSS" and "7REPORTS" are systems and marks of their respective owner and are referenced only to describe services urayf performs at its clients' direction.

Schedule Notifications (SMS)

Clients on qualifying plans may build weekly employee schedules in the portal and have urayf send each scheduled employee a text message listing their own shifts ("Schedule Texts"), sent on the client's behalf. Full program terms are published at urayf.com/sms.

• By entering an employee's mobile phone number, you represent that the employee has agreed to be invited to Schedule Texts at that number. Enrollment is double opt-in: urayf texts the employee a single invitation, and Schedule Texts begin only after the employee replies YES. If they never reply, nothing further is sent.
• Message frequency varies with schedule changes. Message and data rates may apply. Mobile carriers are not liable for delayed or undelivered messages.
• An employee can opt out at any time by replying STOP to any Schedule Text (and back in by replying START), or get help by replying HELP. You may also remove their number in Settings.
• Mobile numbers and opt-in data collected for Schedule Texts are used only to deliver them and are never shared with third parties or affiliates for marketing or promotional purposes — see our Privacy Policy.

2. Becoming a Client

To use urayf, we need to onboard you as a client. Onboarding involves:

• Establishing your urayf account with a unique email and password
• Configuring your store(s) in our system
• Establishing the data feed from your POS/inventory systems to urayf
• Agreeing on your service tier and pricing

We reserve the right to decline new clients at our discretion.

3. Pricing and Payment

Our standard rates are listed on urayf.com and within your Billing settings. Pricing in effect at the time of your onboarding will apply unless we provide 30 days' written notice of a change.

Service is billed month-to-month, in advance. There is no charge at signup; your service begins immediately, and your first payment — the full plan fee — is due on the 1st of the following month. The full plan fee is then due on the 1st of each month and covers that month's service. If payment is not received, service may be suspended after a 14-day grace period.

4. Your Data

You retain full ownership of all data you provide to urayf, including POS data, inventory data, employee data, and any other information from your business operations.

By providing data to urayf, you grant us a limited license to:

• Process and analyze your data for the purpose of producing your reports
• Store your data securely for the duration of your service
• Retain your data for a reasonable period after service ends, as described in our Privacy Policy

You represent and warrant that:

• You have the lawful authority to share the data you provide to urayf with us
• You have obtained any consents required from your employees, vendors, or other individuals named in the data
• The data does not violate any third party's rights or any applicable law

If a third party claims you did not have authority to share data with urayf, you agree to defend and indemnify urayf against such claims.

Third-Party System Access

By agreeing to these Terms, you authorize urayf to collect and enter data inside your store's 7BOSS and 7REPORTS systems as a manager, using the credentials you provide. This authorization stands for as long as your account is active and may be withdrawn at any time by removing those credentials or closing your account.

Some urayf services involve accessing third-party systems used by your business (for example, 7BOSS and 7REPORTS) under the access you authorize here. You are solely responsible for ensuring that granting urayf such access complies with your agreements with the operators of those systems — including any franchise agreement — and with those systems' terms of use. urayf accesses these systems only as authorized by you and only to perform the services.

If a third party (including a franchisor or system operator) claims that urayf's authorized access violated your agreements with them, that claim is covered by your indemnification obligations under Section 11.

5. Acceptable Use

You agree to use urayf only for its intended purpose: analyzing your own business operations. You agree NOT to:

• Share your urayf account credentials with anyone outside your business
• Attempt to access other clients' data, accounts, or reports
• Reverse engineer, scrape, or copy the urayf platform
• Use urayf for any illegal purpose
• Submit data that infringes on third-party rights or contains malicious code

Violation of these terms may result in immediate service suspension and account termination.

6. Confidentiality

We treat your data and your business operations as confidential. We will not disclose your data or business details to any third party except as described in our Privacy Policy.

You agree to treat the urayf service and our methodologies as confidential. Specifically, you will not publish, share, or repurpose the contents of your reports beyond your own internal business use without our written permission.

7. Service Availability

We strive to keep urayf available 24/7, but we do not guarantee uninterrupted service. We may schedule maintenance windows or experience unplanned outages. We will notify you of significant planned downtime in advance.

We are not liable for service interruptions caused by:

• Your internet connectivity
• Third-party services we depend on (e.g., Supabase, Vercel)
• Force majeure events
• Your violation of these Terms

8. Reports and Information Accuracy

We exercise reasonable care in producing accurate reports based on the data you provide. However:

• Our reports are only as accurate as the data we receive. We cannot detect or correct errors that exist in your source data.
• Reports are for informational purposes and should not be the sole basis for material business, financial, tax, or legal decisions.
• urayf is not a financial advisor, accountant, lawyer, or tax professional. We recommend consulting appropriate licensed professionals for material decisions.

You assume full responsibility for any decisions you make based on urayf reports.

9. Cancellation

Either party may cancel the service at any time with 30 days' written notice. Notice from your side may be sent to billing@urayf.com.

Upon cancellation:

• We will produce any reports already in progress, then stop new analysis
• Your service continues through the end of the month you have already paid for, after which the subscription ends; no further charges are made
• We keep your data for 21 days after your subscription ends, so you can reactivate and pick up where you left off. Reactivate within those 21 days and nothing is lost. After the 21 days, your data is permanently deleted — your reports, your operational data, your stored 7BOSS credentials, and your urayf account — and if you sign up again later you start fresh, subject only to the limited billing records described in our Privacy Policy.
• If your subscription is instead suspended for non-payment and is not restored, the same 21-day clock and permanent deletion apply, measured from the date of suspension.

10. Limitation of Liability

To the maximum extent permitted by law:

urayf is provided "as is" without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

In no event will urayf's total liability to you for any claim arising from these Terms or the service exceed the amount you paid urayf in the 12 months preceding the claim.

urayf will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, even if we have been advised of the possibility of such damages.

11. Indemnification

You agree to defend, indemnify, and hold harmless urayf, its officers, employees, and contractors from any claims, damages, or expenses arising out of:

• Your use of urayf in violation of these Terms
• Data you provided that you did not have authority to share
• Your business operations, decisions, or use of urayf reports
• Your violation of any third party's rights

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be announced via email at least 30 days before they take effect. Continued use of urayf after that date constitutes acceptance.

If you do not agree to a change, you may cancel under Section 9.

13. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to its conflict of laws principles. Any disputes will be resolved in the state or federal courts located in [your county], Illinois.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full effect.

14. Entire Agreement

These Terms, together with the Privacy Policy and any service order or written agreement we have with you, constitute the entire agreement between you and urayf regarding the service. They supersede any prior agreements, communications, or understandings on the subject.

Privacy Policy

URAYF LLC ("urayf," "we," "our," or "us") is committed to protecting the privacy of our clients and the data they share with us. This Privacy Policy explains what information we collect, how we use it, and the choices you have regarding that information.

1. Who We Serve

urayf is a business intelligence firm. Our clients are independent retailers, franchisees, and small business owners who hire us to analyze their store operations and produce regular reports. This policy applies to data we receive in the course of providing those services, and to information collected through urayf.com.

2. Information We Collect

From Our Clients (Account Holders)

When you become a urayf client, we collect:

• Your name, email address, and contact information
• Your business name(s) and store identifier(s)
• A password (stored in encrypted form — we never see your plaintext password)
• Optional profile information you provide (display preferences)

From Our Clients' Employees (Schedule Texts)

Clients who use urayf's scheduling feature enter their employees' names and mobile phone numbers in the urayf portal so that urayf can text each employee their own work schedule. See Section 5, "Text Messaging (SMS) Program."

From Our Clients' Operations

To produce the reports our clients pay for, we receive operational data from our clients' point-of-sale and inventory systems. This includes:

• Point-of-sale (POS) transaction data
• Invoice summary reports
• Daily merchandise reports
• Electronic journal reports
• Shift data, including employee names where present in the original data

This data is provided to us by our clients, who are responsible for having lawful authority to share it with us under their agreements with their own employees, vendors, and customers. Apart from Schedule Texts that an employee has personally opted in to (Section 5), we do not contact, market to, or otherwise interact with the individuals named in this data.

From Visitors to urayf.com

Our public website may collect:

• Standard server logs (IP address, browser type, pages visited, timestamps)
• Information you voluntarily submit (e.g., when you email us)

We do not currently use third-party analytics, advertising trackers, or social media pixels on urayf.com.

3. How We Use the Information

We use the information we collect to:

• Operate the urayf service and deliver the reports our clients pay for
• Communicate with our clients about their account, their reports, and service-related matters
• Improve our analysis methodologies and report quality
• Comply with legal obligations
• Detect and prevent fraud or abuse

We do not:

• Sell client data to third parties
• Share client data with advertisers
• Use client data to train AI models for other clients or for any purpose outside of generating that specific client's reports
• Contact, market to, or analyze individuals identified in our clients' operational data for any purpose other than producing the client's report

4. How We Share Information

We share information only in these limited circumstances:

With your authorization. If you ask us to share information with a third party (e.g., your accountant), we will.

With our service providers. We use third-party infrastructure providers to operate urayf — currently including Supabase (database and authentication) and Vercel (web hosting). These providers process data on our behalf under contracts that require them to protect it. They do not have rights to use your data for any other purpose.

When required by law. We will disclose information if required by valid legal process (subpoena, court order). When permitted, we will notify the affected client before disclosure.

With a successor. If urayf is acquired, merged, or sold, your information may be transferred to the successor entity. Any successor will be bound by the terms of this policy.

5. Text Messaging (SMS) Program

urayf sends work-schedule notification text messages ("Schedule Texts") to employees of client stores, on behalf of and at the direction of their employer (our client). Full program terms are published at urayf.com/sms.

• What we collect. The employee's name and mobile phone number, entered by the employer in the urayf portal, along with a record of the employee's own opt-in reply.
• Opting in (double opt-in). Entering a number does not by itself start messages: urayf first texts the employee a single invitation, and sends Schedule Texts only after the employee replies YES.
• How it is used. Solely to send that employee their own work schedule when their employer publishes or updates it. Message frequency varies with schedule changes. Message and data rates may apply.
• Opting out. Reply STOP to any Schedule Text to stop receiving them, or reply HELP for help. Employees may also ask their employer to remove their number at any time.

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Text messaging originator opt-in data and consent will not be shared with any third parties.

6. Data Security

We protect your information using industry-standard practices:

• Data is encrypted at rest (AES-256) and in transit (TLS 1.3)
• Passwords are hashed using bcrypt; we never store or have access to plaintext passwords
• Access to client data is restricted to urayf personnel who need it to perform their job
• Our infrastructure providers (Supabase, Vercel) maintain SOC 2 Type II compliance for the services we use

We do not currently maintain SOC 2, ISO 27001, or HIPAA certification for urayf itself. If your business has compliance requirements that need certification, please contact us before becoming a client so we can discuss whether urayf is the right fit.

7. Data Retention

We retain your operational data — the point-of-sale, inventory, report, and 7BOSS credential data described above — only for as long as you are an active urayf client, and permanently delete it 21 days after your subscription ends (see Section 9 of the Terms of Service). We may retain limited billing and tax records (such as invoices and payment history) for the period required by law; those records do not include your store's operational data or your 7BOSS credentials.

You can request deletion of your data at any time by contacting privacy@urayf.com. We will honor deletion requests within 30 days, except where we are legally required to retain certain records.

8. Your Rights

Depending on your location, you may have rights regarding your personal information, including the right to:

• Access the information we hold about you
• Correct inaccurate information
• Request deletion of your information
• Object to or restrict certain uses

To exercise any of these rights, contact privacy@urayf.com. We will respond within 30 days.

Illinois residents: urayf does not collect biometric information (fingerprints, face scans, retinal scans, voiceprints, or hand geometry) and is not subject to the Illinois Biometric Information Privacy Act.

9. Children

urayf is a business-to-business service. We do not knowingly collect information from individuals under 18. If you believe we have inadvertently collected information from a minor, contact privacy@urayf.com and we will delete it.

10. Changes to This Policy

We may update this policy from time to time. When we do, we will update the "Effective" date at the top. For material changes, we will notify clients by email at least 30 days before the changes take effect.
